The General Partner of the Greenman OPEN Fund, in consultation with the AIFM, is implementing certain measures following a “Minded-to” letter issued by the Central Bank of Ireland on 18 December 2025.

After considering the contents of this letter, the General Partner has approved the implementation of the measures set out below in order to achieve the intended outcome of the direction proposed by the Central Bank.

Suspension of New Subscriptions

In line with the Fund’s Articles and Prospectus, the General Partner has determined that it is appropriate to suspend the marketing, acceptance, and processing of all new subscriptions to the Greenman OPEN Fund. This suspension will remain in effect until 14 August 2026.

Return of Unprocessed Subscription Monies

Any unprocessed subscription monies held as of the date of the Central Bank’s letter, including those held by third-party service providers, will be returned to investors.

As a result, subscriptions received up to 21 December 2025 for the 31 December 2025 dealing date will be cancelled and refunded.

Investors are encouraged to seek professional advice regarding any potential tax implications that may arise during the suspension period.
